Fund Formation Associate - Highly-Regarded Practice - Am Law FirmAbout the Position:We are working with a sophisticated global law firm that has an immediate need for a fund formation attorney (3+ yrs) to join its Chambers-ranked corporate and private equity practice in its Chicago office. This practice has received numerous accolades for its work, and attorneys in this group represent individuals, publicly held corporations, limited liability companies, and other for-profit and nonprofit organizations.Highlights: - Chambers-ranked corporate practice with a global reach - Named as one of North America's most innovative law firms by Financial Times - Ranked in the BTI Consulting's Client Service A-Team list in 2024 for its outstanding client-centered serviceResponsibilities: - Assist with all aspects of fund formation, including structuring, capital raising, and compliance - Participate in the ongoing management of alternative investment funds - Draft and negotiate limited partnership and limited liability company agreements - Handle capital raising transactions and manage the equity investment process for one-off investment transactions on behalf of independent sponsors - Prepare offering documents and ensure compliance with Regulation D and other securities laws governing private placements - Advise on issues related to the Advisers' Act and relevant exemptions, registration, and compliance requirements for fund managersRequired Qualifications: - 3 or more years of large law firm experience, representing private fund sponsors and institutional investors in fund formation matters - Experience drafting limited partnership agreements and limited liability company agreements - Understanding of market fund terms and the intricacies of negotiation in the fund offering process - Experience reviewing and identifying issues in fund documents - Familiarity with the Advisers' Act and related compliance and registration issues for fund managers - Experience preparing offering documents, including PPMs, with a strong understanding of Regulation D, securities laws governing private placements, and the Advisers' Act
